These Terms and Conditions (“Terms”) govern your access to and use of https://prototopics.com/ (the “Site”) and any related products, courses, content, and services offered by Prototopics (collectively, the “Services”). By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1) Eligibility and Age Requirements

The Services and courses are not intended for individuals under 18.

If you are under 18, you may only use or enroll in the Services if you are accompanied by an adult and have obtained permission from a parent or legal guardian. By using or enrolling in the Services, you represent that you meet these requirements or that a parent/legal guardian has reviewed and agreed to these Terms on your behalf.

2) Account Access and Security (If Applicable)

Creating an account or receive login credentials may be necessary to access certain course materials.

You agree to:

  • Provide accurate information.

  • Maintain the confidentiality of your login credentials.

  • Notify us promptly of any unauthorized use of your account by emailing contact@prototopics.com.

You are responsible for all activity that occurs under your account.

3) Purchases, Payments, and Billing

When you purchase a course or other paid offering, you agree to pay the listed price and any applicable taxes.

We use Stripe as a payment processor. By making a purchase, you agree that Stripe may process your payment and related transaction data in accordance with its terms and policies. We do not typically store full payment card details.

All prices and availability are subject to change at any time, but changes will not affect purchases already completed.

4) Refund Policy

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. In summary:

  • If the student has not started the course, they are eligible for a full refund.

  • If the student has started the course, they are eligible for a half refund.

  • If the student has completed the course, they are not eligible for a refund.

5) License and Acceptable Use

A. Limited License

Subject to these Terms and your purchase (if applicable), Prototopics grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and course content for your personal, non-commercial use.

B. Prohibited Conduct

You agree not to:

  • Copy, reproduce, distribute, sell, sublicense, or otherwise exploit any course content except as expressly permitted by Prototopics.

  • Share login credentials or grant access to paid content to any third party.

  • Record, scrape, data-mine, reverse engineer, or attempt to extract source code or underlying content delivery mechanisms.

  • Use the Services for unlawful, fraudulent, abusive, or harmful activity.

  • Interfere with the security or operation of the Site.

We reserve the right to suspend or terminate access for violations.

6) Intellectual Property

All content on the Site and within the Services (including videos, lessons, text, graphics, logos, trademarks, and downloadable materials) is owned by Prototopics or its licensors and is protected by intellectual property laws.

No rights are granted except as explicitly stated in these Terms.

7) User Submissions (If Applicable)

If you submit content (e.g., feedback, comments, testimonials, questions, or other materials), you grant Prototopics a worldwide, royalty-free, non-exclusive license to use, reproduce, modify, publish, and display such submissions for operating, improving, and marketing the Services, unless prohibited by law. You represent you have the rights to submit such content and that it does not infringe third-party rights.

You may request removal of testimonial or marketing use by contacting contact@prototopics.com (subject to practical and legal limitations, such as prior publications).

8) Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and share information, including the use of Google Analytics. By using the Services, you consent to the collection and use of information as described in the Privacy Policy.

9) Disclaimers

The Services and all content are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, whether express, implied, or statutory.

To the maximum extent permitted by law, Prototopics disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Educational and informational purposes: Any content provided through the Services is intended for educational/informational purposes only and does not constitute professional advice (legal, medical, financial, or otherwise). You are responsible for how you apply any information.

We do not guarantee specific outcomes, results, earnings, performance improvements, or success from using the Services.

10) Limitation of Liability

To the maximum extent permitted by law:

  • Prototopics and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, or loss of profits, revenue, data, goodwill, or other intangible losses.

  • Prototopics’ total liability for any claim arising out of or relating to the Services will not exceed the amount you paid to Prototopics for the applicable paid Service in the 12 months preceding the event giving rise to the claim (or, if greater is required by law, the minimum amount permitted).

Some jurisdictions do not allow certain limitations; in those jurisdictions, liability is limited to the fullest extent permitted by law.

11) Indemnification

You agree to indemnify, defend, and hold harmless Prototopics and its affiliates, officers, directors, employees, and contractors from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of the Services,

  • your violation of these Terms, or

  • your infringement of any intellectual property or other rights of any person or entity.

12) Termination

We may suspend or terminate your access to the Services at any time if we reasonably believe you have violated these Terms or if necessary to protect the Site, users, or our rights.

Upon termination, the license granted to you ends immediately, and you must stop using the Services and any course materials. Sections that by their nature should survive termination (e.g., intellectual property, disclaimers, limitation of liability, indemnification) will survive.

13) Changes to the Services or Terms

We may update these Terms from time to time. When we do, we will post the updated Terms on the Site and update the Effective Date if appropriate. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

We may modify or discontinue all or part of the Services at any time.

14) Governing Law and Venue

These Terms are governed by the laws of the State of Texas, without regard to conflict of laws principles.

Unless otherwise required by applicable law, you agree that any dispute arising out of or relating to these Terms or the Services will be brought in the state or federal courts located in Texas, and you consent to personal jurisdiction and venue in those courts.

15) Miscellaneous

  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

  • No waiver: Failure to enforce any provision is not a waiver.

  • Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations.

  • Entire agreement: These Terms, along with the Refund Policy and Privacy Policy, constitute the entire agreement between you and Prototopics regarding the Services.
